1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LMCU Technologies Inc. ("LMCU," "we," "us," or "our") governing your access to and use of the LMCU website (ailearninghelp.com), LMCU login portal, and all related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use our Services.

These Terms apply to all users of the Services, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use LMCU Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Represent a legitimate business or organization (for commercial services)
• Comply with all applicable export control regulations (see Export Compliance)
• Not be prohibited from receiving U.S. exports or technology

2.2 LMCU Login Account

When you create an LMCU account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify LMCU immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Not share your LMCU login credentials with third parties

LMCU reserves the right to suspend or terminate accounts that violate these Terms or pose security risks.

3. Use of Services

3.1 License Grant

Subject to these Terms, LMCU grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the LMCU website and login portal
• View and download materials for personal or internal business use
• Use LMCU technology products pursuant to separate license agreements

3.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or export control requirements
• Infringe upon intellectual property rights of LMCU or third parties
• Attempt to gain unauthorized access to LMCU systems or other user accounts
• Interfere with or disrupt the integrity or performance of our Services
• Transmit viruses, malware, or other harmful code
• Scrape, spider, or harvest data using automated means without permission
• Reverse engineer, decompile, or disassemble any LMCU technology
• Use Services for any unlawful, fraudulent, or malicious purpose
• Impersonate LMCU, our employees, or other users
• Share export-controlled information with unauthorized parties

4. Intellectual Property Rights

4.1 LMCU Ownership

All content, technology, software, trademarks, and materials available through our Services are the exclusive property of LMCU Technologies Inc. or our licensors. This includes:

• LMCU name, logo, and branding (including "Lake Michigan Control Unit")
• Website design, graphics, text, and multimedia content
• Proprietary navigation and motion control algorithms
• Software, source code, and technical documentation
• Patents, trade secrets, and know-how

4.2 Trademarks

LMCU®, Lake Michigan Control Unit®, and related marks are trademarks of LMCU Technologies Inc. Use of these trademarks without prior written permission is strictly prohibited.

4.3 User Content

By submitting content to LMCU (feedback, suggestions, technical data), you grant us a worldwide, royalty-free license to use, modify, and incorporate such content into our Services.

5. Payment and Fees

5.1 Pricing

LMCU Services may be provided on a paid subscription or licensing basis. All prices are in U.S. Dollars unless otherwise specified.

5.2 Payment Terms

• Payment is due according to the invoice terms (typically NET 30)
• Late payments may incur interest charges of 1.5% per month
• LMCU reserves the right to suspend services for non-payment
• All fees are non-refundable unless otherwise stated in writing

5.3 Taxes

You are responsible for all applicable taxes, duties, and government fees related to your use of LMCU Services.

6. Service Level and Availability

LMCU strives to maintain high availability of our Services, including the LMCU login portal. However:

• Services are provided "AS IS" without guaranteed uptime
• LMCU may perform scheduled maintenance with advance notice
• We reserve the right to modify or discontinue Services at any time
• Specific Service Level Agreements (SLAs) may be provided in separate contracts

LMCU is not liable for temporary unavailability, interruptions, or service degradation due to circumstances beyond our reasonable control.

7. Export Control and Compliance

LMCU technology is subject to U.S. export control laws including the International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR). By using our Services, you agree to:

• Comply with all applicable export control regulations
• Not export or re-export LMCU technology without proper authorization
• Verify that you are not on any U.S. denied parties lists
• Provide accurate nationality and end-use information when requested
• Notify LMCU immediately of any export control concerns

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LMCU SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

LMCU DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties of non-infringement
• Warranties regarding uninterrupted or error-free operation
• Warranties regarding security or freedom from viruses

LMCU does not warrant that the Services will meet your specific requirements or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL LMCU, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to your account or data
• Actions or omissions of third parties

LMCU's total liability for any claims arising from these Terms or use of Services shall not exceed the greater of:

• The amount you paid to LMCU in the 12 months preceding the claim, or
• $100 USD

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless LMCU Technologies Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms of Service
• Your violation of any laws or regulations
• Your violation of third-party rights
• Your misuse of LMCU Services or technology
• Unauthorized access to your LMCU account due to your negligence
• Export control violations related to your use of Services

11. Term and Termination

11.1 Term

These Terms remain in effect while you use LMCU Services or maintain an LMCU account.

11.2 Termination by You

You may terminate your account at any time by contacting LMCU support at [email protected].

11.3 Termination by LMCU

LMCU may suspend or terminate your access immediately without notice if:

• You violate these Terms or applicable laws
• You fail to pay fees when due
• We suspect fraudulent or unauthorized activity
• Required by law or government authority
• We discontinue Services to all users

11.4 Effect of Termination

Upon termination: (a) your right to access Services immediately ceases; (b) LMCU may delete your account data; (c) outstanding payment obligations survive; (d) provisions intended to survive termination (including intellectual property, liability limitations, and dispute resolution) remain in effect.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas and the United States of America, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or Services shall be resolved through binding arbitration in Houston, Texas under the rules of the American Arbitration Association, except:

• Disputes involving intellectual property rights
• Claims seeking injunctive or equitable relief
• Small claims court matters (under $10,000)

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions or class-wide arbitration.

12.4 Venue

For matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Harris County, Texas.

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any separate agreements, constitute the entire agreement between you and LMCU.

13.2 Modifications

LMCU reserves the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of Services after changes constitutes acceptance.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

13.4 Waiver

LMCU's failure to enforce any right or provision does not constitute a waiver of such right or provision.

13.5 Assignment

You may not assign these Terms without LMCU's written consent. LMCU may assign these Terms to any successor or affiliate.

13.6 Force Majeure

LMCU is not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, cyber attacks, government actions, etc.).
